_______ has developed educational textbooks and software for over thirty year. We have a new Internet business selling downloadable educational software activities on a subscription basis. We are interested in converting our 4,000 activities and authoring application to Flash. We started the project a few years ago and have access to an experienced Flash programmer to oversee the project. We are looking for someone interested in working for royalties in the project and equity in the company.

Questions About This Project

Question: How are you intend on generating revenue? Do you have any strategic alliances with schools or business' for your "activity/games"? If you don't have money for marketing (as stated below in his email) then how is revenue generated? How much cash deposit are you willing to put into this project upfront?
Client's Answer: Not much up front. The main motivation for converting is that a Flash version of both our activities and our authoring application will provide additional business opportunities. Although we have been in business for thirty years, we have abandoned almost all of our former work as a developer for publishing companies to concentrate on building a publishing business (selling downloadable activities to parents) and a licensing business (licensing our content and authoring tools). Many companies who like our content and tools require that they come as Flash. We have one company (its learning), for example, where we could probably generate more income in the first year of licensing a Flash version of our content and authoring application to them than it would cost (cash cost) to develop it. But we have no money. We took all of our legacy income (and a substantial investment from friends and family) to build our C++ version and have no money except a modest amount for marketing. We are in an ironic place where we can probably generate more money from a Flash version of our technology than our C++ version, the Flash version costs are a tiny percentage of the C++ version, and we dont have the cash to do it.

Question: U understand that you are planning to make payments via all royalties, all equity, or a combination. Are you open tp put cash deposit to start the project then rest of payments can be all royalties, all equity, or a combination?.
Client's Answer: I am open to that.

Question: In addition to a prior email, how many games are you talking about? You do not have enough requirements to provide an accurate quote to come up with. Can you be more specific?
Client's Answer: We have fifty different types of activities, each of which has an end-user player and an authoring module. We can start with a subset of activity types, probably between 20-30.

Question: will you be interested in a design firm who can work on the project on a cost sharing basis + royalty
Client's Answer: Basically, yes. I am open to all royalties, all equity, or a combination. The main motivation for converting is that a Flash version of both our activities and out authoring application provide additional business opportunities. Although we have been in business for thirty years, we have abandoned almost all of our former work as a developer for publishing companies to concentrate on building a publishing business (selling downloadable activities to parents) and a licensing business (licensing our content and authoring tools). Many companies who like our content, require that it come as Flash and many companies that like our tools require that they come as Flash.
